PLEASE NOTE: Learners are responsible for their own wi-fi and electronic equipment to connect with on-line / live classes or events. 'No bookings will be accepted if made without proof of payment (copy of deposit slip or electronic transfer advice) and an official company order form (when applicable. 

Payment must be made at least 3 working days prior to the service delivery date. The organisers may refuse admission where evidence of payment cannot be provided. Learners will be registered on a "first-come, first-serve" basis. All group gatherings’ attendance is subject to personal choice, at own risk, and for own account. 

 

  1. Work Execution 

 

  1. NICOSA shall execute the Work, as indicated in the enclosed Scope of Work, in a professional manner and in accordance with the standard contract conditions given below.  NICOSA has the administrative responsibility for execution of the Work. The Work shall be carried out in accordance with NICOSA’s internal Quality Management System (QMS).  

  2. Client indemnifies NICOSA from any liability regarding training, attendance, assessments and moderation of learners towards the achievement of credits and/or issuing a certificate of competence unless explicitly agreed upon in writing between NICOSA and the Client. 

 

  1.  Terms of Payment 

 

  1. Client shall pay NCIOSA (on presentation of an invoice) for the Work as specified in the Agreement. Payment shall be made into NICOSA’s bank account as stated on the invoice unless otherwise stipulated in the Agreement.  

  2. Client shall give NICOSA 15 days' written notice of any disputed items in the invoice. The undisputed part of all services, prior to withdrawal, of the invoice shall be settled according to the conditions below. 

  3. Prices quoted are exclusive of all local taxes.

  4. Remuneration shall be made in full prior to the commencement of any work. For late payment interest will be charged at a rate of SA Prime + 2% per month or part thereof.  In addition, NICOSA has the option of stopping work until payment is received.  If the charges payable by the client to NICOSA are not paid in full within 30 days of the date of the invoice, the company shall be entitled to withdraw its services without prejudices to its rights.  The withdrawal services shall not relieve the client from payment of any charges due. 



 

  1. CANCELLATION AND REFUNDS

    1. Goods and services relating to purchases through PayPal, EFT, Yoco, Credit / Debit Card or Cash. Please note all refunds have a 20% of total purchase amount, admin fee, as well as the cost amount of all goods purchased in anticipation of service delivery.  

    2. Due to the nature of the products and services being offered, a standard 7 days cancellation policy is in effect, after making the payment for the course / programme or service and is relevant to any materials that have been received, viewed or accessed by the student. All refunds are subject to approval by the management and the board, and decisions are final. Refunds will be declined in the event that: 

  • Materials have been received / posted to the student; 

  • Gained access to the digital content for review,

  • Downloaded or received any / all content regardless of format (Physical copies / digital downloads or viewing). 

  • the students / coachees fail to attend the required classes,

Cancellation must be made in writing by email to NICOSA info@nicosa.co.za

The student must return any and all materials in the same condition as received, as soon as possible and at the students’ own cost and risk. When doing so the student should state his / her name, address, invoice number and the reason for cancellation. The students are liable for all costs incurred in returning the goods to;

  1. Refund Policy: 

    1. NICOSA YCP offers a 7 day cancellation policy: upon purchase of any courses, or services which are subject to a 20% admin fee charge, and cost amount of any supplies purchased in anticipation of service offering. Due to the nature of NICOSA services, products and courses, NO refunds will take place in the event that the course or services has started or the member has gained access /downloaded or received copies of any / all digital content or material. 

    2. All Refunds are subject to NICOSA's discretion, due to the nature of the services rendered, and up to a maximum of 80% of the total value paid (Proof of payment) by the member. We retain the right to remove any member from any and all services, courses, or groups at NICOSA discretion.

  1. RESERVE THE RIGHT

    1. We reserve the right to change the content of the presentations or if necessary to substitute a speaker/presenter or facilitator. NICOSA reserves the right to postpone or cancel coaching / training programs should the number of bookings not justify the presentation of the event or the course. 

 

  1. Changes 

 

  1. Client shall be entitled, upon 7 days written notice, to request an adjustment to the Agreement thereby requesting a change in the Scope of Work, provided that such variation request shall not exceed what NICOSA could reasonably have foreseen at the start of this Agreement. 

  2. All change orders shall be in writing and shall clearly define the changes requested. 

  3. The additional work involved will be billed and invoiced on a day rate, or as otherwise agreed in writing, in addition to this Agreement unless otherwise agreed in writing between the Parties. 

  4. The change will be implemented as soon as both Parties have agreed in writing the extent of the additional Work and the payment terms thereof.  

  5.  In the event of the client cancelling any consultation or training session the following penalty fees will be payable as agreed remuneration for services due and payable to NICOSA: 

    1. 14 days before the date of commencement - 10% of the agreed fees. 

    2. 7 days before the date of commencement - 50% of the agreed fee. 

    3. Less than 7 days but more 4 days before the date of commencement - 80% of the agreed fee. 

    4. Less than 4 days before the date of commencement - 100% of the agreed fee. These days are to be calculated as normal week days including weekends but excluding public holidays. 

  6. In the event of the client postponing any services as arranged with NICOSA the following penalty fees will be applicable: 

    1. 10 Working days prior to the date of commencement – 10% of the agreed fee 

    2.  5 Working days or less prior to the date of commencement – 25% of the agreed fee.

 

  1. Termination 

 

  1. Both the Client and NICOSA YCP shall have the right to terminate this Agreement upon written notice of such termination to the other Party. 

  2. In the event of termination, the Client shall reimburse NICOSA for any and all Work performed up to the time of termination, including all costs and expenses incurred as a consequence of such termination.  NICOSA YCP shall also receive a termination fee to be negotiated in addition to the amount outstanding for Work performed.

  1.  Intellectual Property Rights 

 

  1. All proprietary rights to the Deliverables provided by NICOSA YCP in the performance of the Work shall be the property of the Client unless otherwise specified. NICOSA YCP shall have free access at all times to such Deliverables. 

  2. Any pre-existing intellectual property rights (including copyright and know-how) remain the property of NICOSA YCP.  In addition, any documents, data and computer programs developed during the work that are not defined as Deliverables are the property Seraphim Coaching & Training Hub. 

  3. Client and NICOSA YCP may stipulate that the project is to be a development contract aiming to produce a special method or invention.  The proprietary rights and apportionment of any commercial profits arising shall be defined under Special Conditions/Agreements. 

 

  1. Liability and indemnity 

 

  1. Client shall indemnify NICOSA's employees,

    1. representatives and subcontractors against claims in connection with the Work as a result of: 

      1. the death of or personal injury to Client's employees, representatives or subcontractors;

      2. the loss of or damage to property of Client, Client's employees, representatives or subcontractors.

  2. NICOSA YCP shall indemnify Client, Client's employees, representatives and subcontractors against claims in connection with the Work as a result of: 

    1. the death of or personal injury to NICOSA 's employees or representatives or subcontractors; 

    2.  the loss of or damage to property of NICOSA, NICOSA 's employees, representatives or subcontractors. 

    3. Notwithstanding liability pursuant to 7.1, neither Client nor NICOSA shall be liable to the other Party or to any third Party for loss of earnings or profit or other consequential damages or losses as a direct or indirect result of the Work. 

    4. NICOSA's maximum cumulative liability for breach of contract and for any delays in the Work shall be limited to the contractual compensation for the completed Work or parts of the Work. 

    5. Client and NICOSA agree that the application of the results of the Work shall be at the user's sole risk. 

    6. Each Party shall immediately notify the other Party of any circumstances rendering the above clauses effective. All claims in connection with this Agreement must be submitted within 12 months of completion date in order to be valid.

The Data Controller: This privacy policy relates to NICOSA website. We may collect certain information about you in the course of our dealings and through transactions with you. We take privacy and security of customer information seriously and operate a high level of internal security. We will treat your personal data as confidential and will only use it as set out in this privacy policy. By dealing with us you agree to us collecting, using and publishing your personal information in accordance with the details below.

 

What information do we collect about you?

 

We collect information about you when you register with us, when you use our services and when you contact us by e-mail or contact forms. We collect information that will help us provide you with a better service whenever you interact with us by whatever means you choose to communicate with us, that could be via the website, email, phone or any other form of interaction such as social media. When subscribing there is a link to this privacy policy and also in the confirmation email that we send when you subscribe and also an ‘unsubscribe’ link at the bottom of every email communication

 

How will we use the information we collect about you?

We will do the following with your personal information:

  • store and use it to provide you with any services which you order from us and maintain evidence of your being a subscriber to our services.

  • and improve and develop the services we offer by analysing your information including information related to your usage of our website or any other interaction with us

How long do we store and use your data?

  • we keep and use your data under contract for as long as you choose to maintain your account once opened, whereas data from subscribers who don’t open an account remains on our system for 3 years after registering or initially subscribing.

  • Apart from our business and the partners or processors that we employ under strict privacy contracts to carry out work for us, we don’t share any data with unrelated parties. Be assured that your privacy is important to us and so your data cannot be accessed by any unauthorised person or business.

  • If for any reason we needed to share your data other than for our business in the future, we will first ask your permission to do so.

 

Can you update your information?

  • Most of your data is held in your account on our members portal, you can securely access it there and we’d appreciate it if you keep it up to date amend it or add to it as you wish. Your data is held there under contract until you close your account with us at which point, access to your courses will be disabled and your data will be deleted.

  • You may also update your information by contacting us by email as set out below. Please help us keep your personal data up to date by notifying us of any such changes in accordance with this privacy policy.

 

Can you ask for a copy of the information we hold?

  • We conform to the latest data regulations for May 2018 and in addition we conform to best practice by enabling your rights to access your data via your account where available.

  • In addition to conform to the latest data protection legislation i.e. the GDPR 2018 and accordingly your right to access any personal information that we may hold about you. This could be in addition to what you can freely access from the portal and may include for example, information relating to affiliate programme activity if applicable. To access this information or advise us to delete it (right to be forgotten) please contact us as set out below, there may be a charge depending on the circumstances.

Lawful basis for ‘processing your data’

We process personal information on the following bases:

  • Enquirers and subscribers who have not purchased and so not opened an account are processed under the Privacy and electronic communication regulations for ‘soft opt-in’ rules.

  • More recent subscribers will have been also offered the opportunity to consent to their data being processed and to receive marketing material.

  • Any customer or subscriber can exclude themselves from receiving marketing material by simply unsubscribing using the facility included on every communication.

 

Personal data for International Customers

We are based in South Africa and comply with all local privacy regulations, we cannot legislate for any regulations or laws that may apply differently in other countries. Submitting your personal data is done so strictly on that basis and the data of any foreign nationals that we may hold as a result is the responsibility of the person who submits it.
